By accessing or using this website, you agree to these Terms. If you do not agree, please do not use the site. We may update these Terms from time to time, and continued use means you accept the updated Terms.
2. Services & Scope
Miracle Max Media LLC provides creative services such as video production, editing, photography, social media management, strategy/consulting, and related services (“Services”).
The exact deliverables, timelines, and pricing are defined in a separate proposal, statement of work, invoice, or written agreement (“Client Agreement”). If a Client Agreement exists, it controls.
3. Payments, Deposits & Refunds
- Payment terms: Unless stated otherwise in your Client Agreement, invoices are due upon receipt.
- Deposits: Some projects require a deposit to secure production time.
- Late payments: Late payments may pause work and delivery schedules.
- Refunds: Because creative work involves time and production costs, deposits and completed work are generally non-refundable unless otherwise stated in writing.
If you want a specific refund/cancellation policy (like “72 hours notice” etc.), we can plug that in once you decide it.
4. Revisions & Change Requests
Unless otherwise stated in your Client Agreement, reasonable revisions are included to fine-tune deliverables. Requests that materially change the scope (new concepts, new footage requirements, heavy re-edits, additional deliverables) may be billed as a change order.
5. Client Responsibilities
- Provide timely access to needed assets (logos, brand guidelines, footage, logins if applicable, etc.).
- Confirm you have rights/permission for any materials you supply (music, photos, footage, trademarks).
- Provide approvals and feedback within a reasonable timeframe to avoid delays.
6. Ownership, Licensing & Portfolio Use
- Ownership: Unless otherwise agreed in writing, final deliverables are provided for your use after full payment is received.
- Project files: Raw footage, project files, and editable source files are not included unless explicitly stated in writing.
- Portfolio: Unless you request confidentiality in writing, you grant us permission to display finished work (or excerpts) for portfolio, website, and social media promotion.
7. Scheduling, Cancellations & Reshoots
Production dates (filming, shoots, sessions) may be rescheduled mutually. If you cancel on short notice, we may charge a fee to cover reserved time and costs. Weather, location issues, or circumstances outside our control may require rescheduling.
Reshoots due to client changes, missed approvals, or new creative direction may be billed separately.
8. Disclaimers
- No guaranteed results: We do not guarantee specific outcomes (views, leads, revenue, follower growth, ad results).
- “As-is” website info: Content on this site is provided for general information and may change without notice.
9. Limitation of Liability
To the maximum extent permitted by law, Miracle Max Media LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits or revenue, arising from your use of the site or Services.
Our total liability for any claim related to Services will not exceed the amount paid by you for the specific Services giving rise to the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless Miracle Max Media LLC from claims arising from (a) materials you provide, (b) your misuse of deliverables, or (c) your violation of these Terms or applicable laws.
11. Third-Party Platforms
Services may involve third-party platforms (e.g., Instagram, Facebook, TikTok, YouTube, Google, scheduling tools). We are not responsible for platform outages, account restrictions, content removals, algorithm changes, or policy enforcement.
12. Termination
We may suspend or terminate access to the site if misuse occurs. Client Agreements may be terminated as described in those agreements. Any fees due for completed work remain payable.
13. Governing Law
These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles.
